PARENTS ASSOCIATION for INSTRUMENTAL MUSIC
ARTICLE I - NAME:
The organization shall be known as Parents Association for Instrumental Music (hereinafter referred to as "AIM").
ARTICLE II - PURPOSE:
Section 1 - The purpose shall be to encourage, support, and enhance the Instrumental Music Programs of all Kirkwood R-7 Schools. Should Aim hereafter be dissolved, its net assets shall be donated to the Kirkwood R-7 Schools or another organization described in Section 501 (c)(3) of the Internal Revenue Code.
Section 2 - It is understood that all opinions of the association bearing on the policy and management of schools are to be advisory in character.
ARTICLE III - MEMBERSHIP:
Section 1 - Any parent or guardian of a student enrolled in instrumental music in the Kirkwood R-7 Schools shall be considered to be a member of AIM. Members shall be eligible to vote on all matters coming before the associations, serve on committees, and hold office.
Section 2 - Any person interested in the encouragement or the promotion of the instrumental music programs shall be eligible for membership.
ARTICLE IV - EXECUTIVE BOARD:
Section 1 - AIM shall be governed by an Executive Board which shall consist of the following officers and chairpersons:
- President
- Vice-President
- Secretary
- Treasurer
- Award Committee Chairperson
- Band Committee Chairperson
- Communication Committee Chairperson
- General Fund Committee Chairperson
- Membership Committee Chairperson
- Orchestra Committee Chairperson
- Scholarship Committee Chairperson
Section 2 - The Instrumental Music Staff shall be Liaison-Advisors to the Executive Board.
Section 3 - Terms of Office
Officers shall be elected by the general membership for a term of one year and not to exceed two consecutive years.
Committee Chairpersons may be elected or appointed for a term of one year. They may serve additional terms in office.
Officers and Committee Chairpersons shall be parents and/or legal guardians of a child or children currently enrolled in an R-7 instrumental music program.
The Executive Board shall assume office at the conclusion of the final meeting of the fiscal year.
Section 4 - Duties
President:
The president shall preside over all Executive Board and general meetings of AIM, enforce all rules, and, in the case of ties, cast the deciding vote. He/she shall be the sole representative between AIM and the Kirkwood R-7 Administration.
The President shall be an ex-officio member of all committees. He/she shall perform such other duties as pertain to his office and are specified in these by-laws.
Vice-President:
The Vice-President shall preside at all meetings in the absence of the President. He/she shall keep him/herself well informed of all AIM activities and shall be the AIM representative to the Kirkwood School Board.
Secretary:
The Secretary shall keep a correct record of the proceedings of all meetings of the association and of the Executive Board.
Treasurer:
The Treasurer shall receive all monies, pay all bills promptly, and keep a record of all monies received and expended. The Treasurer shall pay only those bills properly submitted, make all disbursements authorized by the Executive Board without further discussion or authorization ( including expenditures under $100.00 if it is a budget line item), and seek authorization from the Executive Board for any expenditure over the amount of $100.00 which has not been previously approved nor a budget line item.
The Treasurer and President each shall have the authority to sign checks.
The Treasurer shall submit a proposed budget for approval by the Executive Board at the first meeting of the fiscal year.
At the conclusion of the Treasurer's term, the books of the organization shall be audited.
Award Committee Chairperson:
The Awards Chairperson shall establish a committee of not less than 4 members. The duties of this committee shall be to:
a. acknowledge those students who have participated in the R-7 instrumental music program as well as those who have received honors for their musical ability in addition to R-7 instrumental programs.
b. co-ordinate volunteers and refreshments for AIM sponsored receptions after concerts
c. co-ordinate volunteers and logistics for Elementary School Demonstrations and Evaluations
Band Committee Chairperson:
The Band Committee Chairperson shall establish a committee of not less than five members. This committee shall include the Chairperson and representatives of all District band programs. The duties of this committee shall be to:
a. carry out fundraising specific to the needs of the band program
b. work with the band instructors on activities relating to AIM
c. oversee all AIM activities involving the band instrumental program
d. make recommendations to the Executive Board concerning AIM activities for the bands
e. hold meetings at the discretion of the committee chairman.
Communication Committee Chairperson:
The Communication Chairperson shall establish a committee of not less than 4 members. The duties of this committee shall be to:
a. maintain an AIM website which shall provide communications to the general public
b. publish a newsletter which shall provide communications to the membership
c. oversee bulk mailing of the newsletter
d. communicate with area news media to promote interest in the various activities of the instrumental music programs of the Kirkwood R-7 Schools and AIM.
General Fund Committee Chairperson:
It shall be the duty of the General Fund Chairperson and committee to organize and oversee fund raising activities of AIM which provide contributions to the General Fund. Chairperson shall co-ordinate the fundraising activities of the band and orchestra committees to insure that the timing of events does not coincide to the detriment of the purposes of AIM.
Membership Committee Chairperson:
It shall be the duty of the Membership Chairperson to prepare and maintain accurate records of membership donations. Computerized membership and volunteer lists shall be managed and made available to the chairpersons of all Executive Board committees.
Orchestra Committee Chairperson:
The Orchestra Committee Chairperson shall establish a committee of not less than five members. This committee shall include the Chairperson and representatives of all District orchestra programs. The duties of this committee shall be to:
a. carry out fundraising specific to the needs of the orchestra program
b. work with the orchestra instructors on activities relating to AIM
c. oversee all AIM activities involving the orchestra instrumental program
d. make recommendations to the Executive Board concerning AIM activities for the orchestras
e. hold meetings at the discretion of the committee chairman.
Scholarship Committee Chairperson:
It shall be the duty of the Scholarship Chairperson to keep the general membership informed of opportunities for instrumental music students to enhance their musical ability.
Section 5 - Nomination of Officers
A Nominating Committee shall be appointed by the President and shall consist of the President, Vice-President, and three additional members appointed by the President, representing the High School, Middle School, and Elementary Schools.
The Nominating Committee shall prepare a slate of officers of one nomination for each office. The proposed slate, after approval by the Executive Board, shall be presented to the membership during the month of May. Additional nominations may be made from the general membership. The vote shall be by acclamation if there is only one candidate for each office. The vote shall be secret ballot, if there is more than one person nominated for an office.
The Nominating Committee shall also be responsible for presenting a proposed slate of committee chairpersons to the Executive Board for approval before the May meeting.
ARTICLE V - DUTIES OF THE BOARD:
Section 1 - The Executive Board shall have general supervision of the association, formulate plans, and conduct business for the good and welfare of the association.
Section 2 - The Executive Board shall determine the method of allocation of association funds and shall approve all expenditures.
Section 3 - The Executive Board shall approve all fund raising projects.
Section 4 - The Executive Board shall amend duties of committees, if necessary, for the good and welfare of the association.
Section 5 - Each Executive Board member shall submit an annual written report to the Board at the final meeting of the fiscal year.
ARTICLE VI - MEETINGS:
Section 1 - General membership meetings shall be held twice during the school year and such special meetings as may be required. Exact time and place of all meetings shall be determined by the Executive Board.
Section 2 - Executive Board meetings shall be held when needed as determined by the President. A minimum of six members need to be present to conduct meetings, vote on matters presented to the Executive Board, and approve expenditures.
ARTICLE VII - FISCAL YEAR:
The fiscal year for AIM shall begin on July 1 of each year and conclude the following year on June 30.
ARTICLE VIII - AMENDMENTS:
Proposed amendments to Revised By-Laws (established 1996) must be submitted to the Executive Board in writing two weeks prior to a general meeting. By-Laws may be amended by a two-thirds vote of members present at any regular meeting of the association or at any special meeting call for the specific purpose.
